1. Service Scope

AlphaEdge AI provides software automation tools for executing trading strategies. We are a technology platform, not a broker, dealer, investment adviser, or financial exchange. All trading decisions and strategy configurations are your sole responsibility.

2. Acceptable Use

You agree to use the platform for lawful purposes only. Prohibited activities include:

• Market manipulation, wash trading, or spoofing
• Unauthorized access to other users' accounts or data
• Attempting to reverse engineer or compromise platform security
• Using the platform to facilitate money laundering or fraud
• Violating exchange terms of service or applicable securities laws

3. No Investment Advice

We do not provide investment advice, recommendations, or portfolio management. All content, including pre-built strategy templates, is for informational and automation purposes only. You should consult a licensed financial adviser before making investment decisions.

4. No Performance Guarantees

Trading involves substantial risk of loss. We make no representations about the profitability of any strategy, backtest result, or trading approach. Past performance, whether live or backtested, is not indicative of future results. You may lose some or all of your capital.

5. Fees and Billing

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to modify pricing with 30 days' notice. Exchange fees, spread costs, and slippage are separate and paid directly to exchanges.

6. Cancellations & Refunds

You may cancel your subscription at any time. Access continues until the end of your current billing period. We do not provide refunds for partial billing periods or unused subscription time. Free trial periods may be cancelled before the trial ends to avoid charges.

7. User Obligations

You are responsible for:

• Maintaining the confidentiality of your account credentials
• Using trade-only API permissions and never granting withdrawal rights
• Setting appropriate risk parameters for your strategies
• Monitoring your automated strategies and positions regularly
• Complying with applicable tax obligations and reporting requirements
• Ensuring you have legal authorization to trade in your jurisdiction

8. Data Usage

We collect and process data to provide and improve our services. Your API keys are encrypted at rest and in transit. We do not sell your personal information or trading data to third parties. We may use aggregated, anonymized data for analytics and platform improvements.

9. Intellectual Property

All platform software, content, and materials are owned by AlphaEdge AI or our licensors. You receive a limited, non-exclusive, non-transferable license to use the platform during your subscription. Your custom strategies and configurations remain your intellectual property.

10. Termination

We may suspend or terminate your account immediately if you violate these terms, engage in fraudulent activity, or pose a security risk. Upon termination, all automated strategies will be stopped. You will have 30 days to export your data before account deletion.

11. Limitations of Liability

To the maximum extent permitted by law:

• We provide the platform "as is" without warranties of any kind
• We are not liable for trading losses, missed opportunities, or system downtime
• Our total liability to you shall not exceed the fees you paid in the previous 12 months
• We are not responsible for exchange outages, API failures, or market conditions
• You agree to indemnify us against claims arising from your use of the platform

12. Governing Law

These terms are governed by the laws of the State of California, USA, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.

13. Dispute Resolution

For disputes under $10,000, you agree to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. For larger disputes, either party may pursue litigation in the courts specified above. You waive the right to participate in class actions.

Trading Involves Substantial Risk

Trading cryptocurrencies, forex, equities, and other financial instruments carries a high level of risk. You can lose some or all of your invested capital. Only trade with money you can afford to lose. Consider your investment objectives, risk tolerance, and financial situation before using automated trading strategies.

No Guaranteed Returns

We make no guarantees, representations, or warranties about the profitability of any trading strategy, whether pre-built or custom. Past performance is not indicative of future results. Profitable strategies in backtests or paper trading may lose money in live markets. Market conditions change, and previously successful approaches may fail.

Backtest Limitations

Backtested results are hypothetical and have significant limitations:

• They do not reflect actual trading results or account for all real-world factors
• They are based on historical data that may not repeat in the future
• They may not accurately model slippage, liquidity constraints, or order fill delays
• They assume perfect execution without accounting for market impact or exchange outages
• They can be subject to survivorship bias and overfitting to past data
• They do not capture the psychological stress of managing real capital

Technology and System Risks

Automated trading systems are subject to technical risks:

• Platform downtime, network latency, or system failures may prevent trade execution
• Exchange API outages or rate limits can delay or block orders
• Software bugs or configuration errors may cause unintended trades
• Internet connectivity issues can interrupt strategy monitoring and control
• Server maintenance or upgrades may temporarily suspend automated strategies

While we strive for 99.9% uptime, no system is perfect. Monitor your strategies regularly and use appropriate risk controls.

Market Risks

Markets can exhibit extreme volatility, gaps, flash crashes, and illiquidity. Automated strategies may suffer larger losses than anticipated during such events. Stop-loss orders are not guaranteed to execute at specified prices, especially in fast-moving or illiquid markets. Overnight or weekend positions may experience significant gaps at market open.

Leverage and Margin Risks

If you trade on margin or use leveraged products, you can lose more than your initial investment. Small adverse price movements can result in margin calls, liquidation of positions, and rapid capital depletion. Automated strategies may amplify leverage risks if not configured with appropriate position size limits.

Strategy-Specific Risks

Every trading strategy has unique risks. Trend-following strategies may suffer during choppy markets. Mean-reversion strategies can fail during persistent trends. You assume all risks associated with your chosen exchanges and brokers, including insolvency, hacks, withdrawal freezes, regulatory actions, and operational failures. We are not responsible for exchange conduct or security. Always use reputable, regulated exchanges and enable all available security features (2FA, withdrawal whitelists, etc.).

Regulatory and Tax Risks

Trading regulations vary by jurisdiction and can change without notice. You are responsible for ensuring you are legally authorized to trade and use automated strategies in your location. You are also responsible for all tax obligations, including reporting gains, losses, and trading activity to relevant authorities. Consult a tax professional for guidance.

API Key Security Responsibilities

You are solely responsible for the security of your exchange API keys. Use trade-only permissions. Never grant withdrawal rights. Regularly rotate keys. Enable IP allowlisting on your exchange accounts. If your keys are compromised, unauthorized trades may occur. We encrypt your keys, but you must maintain secure practices.
